1. INTRODUCTION We are 808 Research, Inc., ADDRESS, USA ("808 Research," "we," or "us"). These Terms of Use govern your use of our website, www.808research.com (the "Website"), and the products ("Products") we provide through the Website.

BY USING THE SITE AND/OR PURCHASING FROM US, YOU SIGNIFY THAT YOU AGREE TO THESE TERMS OF USE.

1. REGISTRATION PROCESS 808 Research is a business that provides research laboratories ("Purchasers") with research chemicals. All customers represent and warrant that, through their own review and study, they are fully aware and knowledgeable about government regulations regarding the use and handling of products, the health and safety hazards associated with handling the products, and the necessity of adequately warning of these hazards to others. Purchasers may register to become Purchasers by completing an informational form on our Website.

2. PURCHASER ELIGIBILITY

Age: Products are available only to individuals who are 21 years or older and can form legally binding contracts. By purchasing, you confirm that you meet these criteria and that the information provided is truthful and accurate. 808 Research may refuse access or purchases to anyone at its sole discretion.

Compliance: Purchasers expressly represent and warrant to 808 Research that products will be tested, used, and handled only by qualified professionals in strict compliance with applicable laws and regulations. Products will be used solely for laboratory research purposes and not for human or veterinary consumption. Purchasers will abide by all policies outlined in these Terms of Use and any other operational rules or policies posted on the Website. 

Agency Management: No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by these Terms of Use.

Purchaser Account: To create a purchaser account, you must request its creation, which 808 Research will verify and activate. You may not share your account or transfer it to others. 808 Research may suspend or delete accounts for inactivity or non-compliance. 

Password: You are responsible for maintaining your account’s password confidentiality. Notify us immediately of unauthorized access. We are not liable for losses resulting from your failure to secure your password. 

Right to refuse service: Products are intended for laboratory research only. 808 Research reserves the right to deny sales to unqualified individuals, refuse service if misuse of products is suspected, and place violators on a blacklist prohibiting future purchases.

3. MEDICAL ADVICE DISCLAIMER YOU SHOULD NOT RELY ON THE INFORMATION PROVIDED ON THE WEBSITE AS A SUBSTITUTE FOR, NOR DOES IT REPLACE, PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. INFORMATION PROVIDED ON THE WEBSITE IS FOR INFORMATIONAL PURPOSES ONLY AND IS IN NO WAY INTENDED TO SUBSTITUTE CONSULTING A MEDICAL PROFESSIONAL. DO NOT USE THE WEBSITE FOR EMERGENCY MEDICAL NEEDS. 4. PROHIBITED ACTIVITIES You are solely responsible for your conduct and activities on and regarding the Products and being a Purchaser. We do not endorse and expressly disclaim and all liability in connection with testimonials submitted to Researchem, or any opinion, recommendation or advice expressed by Purchasers who may be in violation of these Terms of Use. As a Purchaser, you will not infringe on the intellectual property rights of others, including but not limited to copyright, trademark, patent, or trade secret rights.

  1. Be false, inaccurate or misleading in registration;
  2. Be fraudulent;
  3. Infringe upon any third-party’s copyright, patent, trademark, trade secret or other proprietary or intellectual property rights or rights of publicity or privacy;
  4. Violate these Terms of Use, any website policy or community guidelines, or any applicable law, statute, ordinance or regulation;
  5. Be defamatory, trade libelous, unlawfully threaten, unlawfully harass, impersonate or intimidate any person (including 808 Research staff or other Purchasers), or falsely state or otherwise misrepresent your identity or affiliation with any laboratory;
  6. Modify, adapt or hack the website or modify another website so as to falsely imply that it is associated with 808 Research; or
  7. Appear to create liability for 808 Research or be placed on the Black List.

808 Research may, in its sole discretion, remove or delete any Purchaser that violates these Terms of Use or that we find otherwise objectionable.

When using our website, you may not use any techniques or automated or other services that are designed to misrepresent Purchaser activities such as through the use of bots, botnets, scripts, apps, plug-ins, extensions or other automated means, for example, to fill in questionnaires, to send messages or to take other actions. 

Without prejudice to our other rights or remedies, we reserve the right to take legal proceedings against you for reimbursement of all costs or losses (on an indemnity basis) resulting from your breach of this section of the Terms of Use and to disclose such information to law enforcement agencies as we reasonably believe is necessary.

5. INFORMATION CONTROL

Confidentiality: Both parties agree to treat shared information as confidential and only disclose it as required by law. 

Resources: 808 Research is not responsible for third-party websites or resources linked on our Website. We disclaim liability for any damages arising from their use.

6. INTELLECTUAL PROPERTY 808 Research retains ownership of all intellectual property rights related to the Website and Products, including trademarks, copyrights, and proprietary designs. You may not reproduce or distribute our intellectual property without prior consent.

This Agreement is not a sale and does not convey to the user any rights of ownership in or related to the Products, the 808 Research technology or the Intellectual Property Rights owned by 808 Research. Except as provided above, nothing in this Agreement shall be construed as conferring any license to any intellectual property rights in the 808 Research services. Upon termination or expiration of this Agreement, this license(s) shall be revoked and have no further force or effect. At the time the license is revoked, eligible users shall delete or otherwise dispose of any materials which fall under the terms of the confidentiality.

7. BREACH OF TERMS 808 Research may suspend or terminate accounts for violating these Terms, prohibit access to the Website, and take legal action to recover damages caused by breaches.

8. PRIVACY POLICY 808 Research values your privacy and complies with applicable data protection laws. By using our Website, you consent to our collection and processing of your personal data as described in our Privacy Policy.

9. WARRANTIES AND DISCLAIMERS 808 Research provides Products and the Website "AS IS" AND "AS AVAILABLE" without warranties of any kind, either express or implied. We disclaim all implied warranties, including MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Use of Products and the Website is at your sole risk.

10. LIABILITY LIMIT; COVENANT NOT TO SUE THE PROVISIONS OF THIS SECTION SHOULD BE READ CAREFULLY AS THEY EXCLUDE OR LIMIT OUR LEGAL LIABILITY IN CONNECTION WITH YOUR USE OF THIS WEBSITE AND OUR PRODUCTS. NOTHING IN THESE TERMS OF USE SHALL EXCLUDE, LIMIT, OR RESTRICT OUR DUTIES AND LIABILITIES TO ANY PARTY IN ACCORDANCE WITH THEIR STATUTORY RIGHTS. 

808 Research will not be liable whether in contract, tort (including negligence), breach of statutory duty, or otherwise (to the maximum extent permitted by applicable law) for any direct or indirect economic losses (including without limitation, loss of revenues, data, profits, contracts, use, opportunity, business, or anticipated savings), loss of goodwill or reputation, or special, incidental, or consequential loss or damage, suffered or incurred arising out of or in connection with your use of the Website or our Products.

808 Research and (to the full extent legally applicable) 808 Research’s representatives (including licensors, parent organizations, subsidiaries, affiliates, officers, directors, employees, attorneys, and agents) shall not be liable to the user for indirect, incidental, consequential, special, punitive, or exemplary damages arising from the relationship of 808 Research and the Purchaser, breach of these Terms of Use, or arising from any other provision of these Terms of Use, including damages for personal injury or damages to property (collectively, “disclaimed damages”). You hereby release, waive, discharge, and promise not to sue or bring any claim of any type against 808 Research for loss, damage, or injury relating in any way to the Website or Products provided by 808 Research. If, notwithstanding the provisions of this paragraph, 808 Research is found liable for loss, damage, or injury under any legal theory relating in any way to the Website or Products provided by 808 Research, 808 Research’s liability to you and your estate shall be limited to the amount of fees received by 808 Research attributable to such Purchaser in the six (6) months prior to the action or claim giving rise to liability or $500, whichever is greater.

11. INDEMNIFICATION Purchasers agree to indemnify and hold harmless 808 Research and its representatives from any claims, damages, or liabilities arising from improper use of the products, violation of intellectual property rights, or breach of these Terms of Use.

12. SEVERABILITY If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in effect.

13. GOVERNING LAW These Terms of Use are governed by the laws of the State of Florida. Any disputes will be resolved exclusively in the state or federal courts located in Florida.

14. UPDATES TO TERMS 808 Research reserves the right to modify these Terms of Use at any time. Material changes will be communicated via email or posted on the Website. Continued use of the Website constitutes acceptance of updated terms.

15. NOTICES You agree to receive notices electronically at the email address provided during registration. Notices are deemed received 24 hours after being sent unless the sending party is notified that the email address is invalid. Notices from 808 Research may also be posted on the Website. 16. ENTIRE AGREEMENT These Terms of Use, along with any policies or documents referenced herein, constitute the entire agreement between you and 808 Research. They supersede all prior agreements, understandings, or representations, whether written or oral, relating to the use of the Website or purchase of Products.

17. TERMINATION 808 Research reserves the right to terminate your access to the Website or your ability to purchase Products at any time without notice for violations of these Terms of Use or for any other reason deemed necessary to protect our business interests. Upon termination, your obligations under these Terms, including any indemnification clauses, shall survive.

18. FORCE MAJEURE 808 Research shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, government actions, labor strikes, power outages, or technical failures. If such events occur, our obligations under these Terms will be suspended for the duration of the event.

19. COMPLIANCE WITH APPLICABLE LAWS You agree to comply with all applicable federal, state, and local laws and regulations governing your use of the Website and the purchase, handling, and use of Products. 808 Research is not responsible for ensuring your compliance with such laws.

20. Your Use of Products 808 Research Products are intended primarily for laboratory research purposes and, unless otherwise stated on product labels, in 808 Research product directory or in other literature furnished to you, are not to be used for any other purposes, including but not limited to, in vitro diagnostic purposes, in foods, drugs, medical devices or cosmetics for humans or animals or for commercial purposes.  You acknowledge that the Products have not been tested by 808 Research for safety and efficacy in food, drug, medical device, cosmetic, commercial or any other use.

You expressly represent and warrant to 808 Research that you will properly test, use, manufacture and market any Products purchased from 808 Research and/or materials produced with Products purchased from 808 Research in accordance with the practices of a reasonable person who is an expert in the field and in strict compliance with all applicable laws and regulations, now and hereinafter enacted.  You further warrant to 808 Research that any material produced with Products from 808 Research shall not be adulterated or misbranded within the meaning of the Federal Food, Drug and Cosmetic Act and shall not be materials which may not, under Sections 404, 505, or 512 of the Act, be introduced into interstate commerce.

You realize that, since 808 Research Products are, unless otherwise stated, intended primarily for research purposes, they may not be on the Toxic Substances Control Act (TSCA) inventory.  You assume responsibility to assure that the Products purchased from 808 Research are approved for use under TSCA, if applicable.  You have the responsibility to verify the hazards and to conduct any further research necessary to learn the hazards involved in using Products purchased from 808 Research. You also assume the duty to warn your employees, those associated with you and any auxiliary personnel (such as freight handlers, etc.) of any risks involved in using or handling the Products.  

You agree to comply with instructions, if any, furnished by 808 Research relating to the use of the Products and not misuse the Products in any manner.  If the Products purchased from 808 Research are to be repackaged, relabelled or used as starting material or components of other products, you agree that you will verify 808 Research assay of the Products.  No Products purchased from 808 Research shall, unless otherwise stated, be considered to be foods, drugs, medical devices or cosmetics.

21. FDA Disclaimer The statements made within this website have not been evaluated by the US Food and Drug Administration. The statements and the products of this company are not intended to diagnose, treat, cure or prevent any disease.All products are for laboratory developmental research USE ONLY. Products are not for human consumption
