808 Research Affiliate Program Operating Agreement

This Affiliate Program Operating Agreement (“Agreement”) contains the terms and conditions that govern your participation in the Affiliate Program (the “Program”) offered by 808 Research, Inc. (“808 Research,” “we,” “us,” or “our”). By applying to or participating in the Program, you (“Affiliate” or “you”) agree to comply with all terms outlined in this Agreement.

1. Purpose of the Program

The Program allows Affiliates to promote 808 Research’s products (“Products”) through approved advertising methods and earn commissions on Qualifying Purchases. Products sold by 808 Research are intended strictly for research purposes and are not for human or veterinary use.

2. Affiliate Responsibilities

a. Compliance with Laws

Affiliates must comply with all applicable laws and regulations, including but not limited to:

  • Federal Trade Commission (FTC) guidelines regarding advertising and disclosures.

  • Local, state, and federal laws, including FDA regulations.

b. Required Disclaimers

Affiliates must include the following disclaimer on all promotional materials:

  • “Products sold by 808 Research are for research purposes only and are not intended for human or veterinary use.”

c. Prohibited Claims

Affiliates are prohibited from:

  • Making any health, safety, or efficacy claims about the Products.

  • Promoting the Products for human or veterinary consumption.

  • Misrepresenting the intended use of the Products.

d. Approved Content

Affiliates may only use banners, links, images, and other promotional content provided by or pre-approved by 808 Research.

e. Ethical Marketing Practices

Affiliates must:

  • Avoid spamming or deceptive marketing tactics.

  • Ensure their promotional methods do not tarnish the reputation of 808 Research.

3. Commission Structure

a. Qualifying Purchases

Affiliates will earn commissions on sales of Products made through their unique referral links, provided:

  • The sale occurs within [X] days of the customer clicking the referral link.

  • The sale is not subject to a return, cancellation, or chargeback.

b. Commission Rate

Affiliates will earn 10-20% commission on the net sale amount (excluding taxes, shipping, and fees).

c. Payment Terms

  • Payments are issued [monthly/biweekly], provided the Affiliate has met the minimum payout threshold of $100.

  • Payments are made via [PayPal/bank transfer].

 

4. Prohibited Activities

Affiliates may not:

  1. Use misleading or deceptive practices to generate sales.

  2. Engage in paid search campaigns targeting “808 Research” or related brand terms.

  3. Promote Products in a manner that implies they are intended for human or veterinary consumption.

  4. Use unauthorized promotional content or modify approved materials.

  5. Post referral links on coupon or deal aggregator websites without prior written approval.

5. Indemnification and Liability

a. Indemnification

The Affiliate agrees to indemnify and hold harmless 808 Research, its affiliates, officers, and employees from any claims, damages, or losses arising from:

  • The Affiliate’s breach of this Agreement.

  • Improper use of promotional content.

  • Any violations of laws or regulations in connection with the Affiliate’s activities.

b. Limitation of Liability

808 Research shall not be liable for any indirect, incidental, or consequential damages arising from the Program. Our total liability is limited to the total commissions earned by the Affiliate in the [12 months] preceding the claim.

6. Termination and Suspension

a. Termination by 808 Research

808 Research reserves the right to terminate this Agreement or suspend an Affiliate’s account immediately for:

  • Violations of this Agreement.

  • Suspected fraudulent activity.

  • Actions that damage the reputation of 808 Research.

b. Termination by Affiliate

Affiliates may terminate their participation at any time by providing written notice to 808 Research.

c. Effect of Termination

Upon termination, the Affiliate must:

  • Cease using all promotional materials related to 808 Research.

  • Remove all referral links from their sites and social media.

7. Intellectual Property

808 Research grants Affiliates a limited, non-exclusive license to use its trademarks, logos, and promotional materials solely for the purpose of promoting the Program. Affiliates may not modify or create derivative works of these materials.

8. Confidentiality

Affiliates must treat all non-public information provided by 808 Research as confidential and may not disclose it to any third party without written consent.

9. Modification of Terms

808 Research reserves the right to modify this Agreement at any time. Affiliates will be notified of changes via email or through the Affiliate Portal. Continued participation in the Program constitutes acceptance of the updated terms.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Florida. Any disputes shall be resolved exclusively in the state or federal courts located in Florida.
